These Terms and Conditions (“Terms”) govern your use of alphenex.com and any services purchased from Alphenex Informatic LLP (“Alphenex”, “we”, “us”). By using the Site or engaging Alphenex, you agree to these Terms.
1. Who we are
Alphenex Informatic LLP is a digital marketing agency registered with the Ministry of Corporate Affairs (RoC-Kolkata, India) operating remotely with international clients across the UAE, UK, USA, Gulf, and Europe.
2. Use of the Site
You may browse the Site for any lawful purpose. You agree NOT to:
- Use the Site in any way that violates applicable law or these Terms.
- Scrape, copy, republish, mirror, or distribute Site content without written permission.
- Attempt to interfere with, disable, or compromise the Site, its security, or its underlying systems.
- Use the Site to send spam, malware, or unsolicited communications.
- Reverse-engineer code, dashboards, or proprietary workflows shown on the Site.
3. Intellectual property
All Site content — including copy, graphics, design, code, illustrations, the Alphenex name and logo, and any proprietary workflows or dashboards shown — is owned by Alphenex or licensed to Alphenex and protected by applicable IP law. Limited fair-use quotation (with attribution and a link to the source page) is permitted. Bulk reproduction is not.
4. Service engagements
Services purchased from Alphenex are governed by a separate written engagement (a Statement of Work, proposal, or signed agreement). In the event of a conflict between these Terms and a signed engagement, the engagement controls.
We do not guarantee specific search rankings, traffic volumes, lead counts, or revenue outcomes. SEO, paid acquisition, and conversion optimization depend on multiple factors outside our control. We commit to the deliverables and process described in the engagement.
5. Fees and payment
Engagement fees, billing cadence, currency, and payment terms are defined in each engagement document. Late payments may result in suspended deliverables. Refund policy (if any) is also defined per-engagement.
6. Third-party platforms
Our services frequently involve third-party platforms (Google, Meta, LinkedIn, WhatsApp Business, CRM vendors, hosting providers). You are responsible for your own accounts with these platforms and for compliance with their own terms of service. Alphenex is not responsible for policy changes, account actions, or downtime caused by third parties.
7. Confidentiality
Information shared by either party during an engagement that is marked confidential, or that would reasonably be understood as confidential, is protected for the duration of the engagement and 3 years after. Public information, independently developed information, and information required to be disclosed by law are excepted.
8. Disclaimer of warranties
The Site and any free resources (audits, checklists, templates) are provided “as is” without warranties of any kind, express or implied. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, Alphenex's total cumulative liability arising out of or related to the Site or any free resource is limited to USD 100. Liability arising from a paid engagement is governed by that engagement document. We are not liable for indirect, incidental, special, consequential, or punitive damages.
10. Indemnification
You agree to indemnify and hold harmless Alphenex from claims arising out of your misuse of the Site, breach of these Terms, or your violation of applicable law or third-party rights.
11. Termination
We may suspend or terminate your access to the Site at any time without notice if we believe you have violated these Terms. Termination of a paid engagement is governed by the engagement document.
12. Governing law
These Terms are governed by the laws of India. Any dispute arising out of these Terms or the Site (excluding paid engagement disputes, which are governed by the engagement document) will be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India.
13. Changes
We may update these Terms as our services evolve or as required by law. The “Last updated” date at the top reflects the current version. Continued use of the Site after a change constitutes acceptance.
